Constitution and Bylaws Review

The NPSS Constitution and Bylaws require a review every five years. A committee was formed in 2025 to fulfill this requirement, as specified in Article XI. The appointed members were Peter Clout, Steve Gold, Steve Meikle, Vesna Sossi, and Stefan Ritt. The committee was chaired by Vice President Lorenzo Fabris.
The work consisted of updating the content to reflect changes enacted by AdCom through motions since the last review. Additional revisions were made to ensure compliance with new language approved and mandated by the IEEE Technical Advisory Board (TAB).
The changes are summarized below:
- The wording in Article C, Section 9(c), and Bylaw 7.6 was changed from “at least 15 members” to “at least 9 members” to facilitate the election process, reflecting Motion 10.1 (June 2023).
- The functional committee “Educational Committee” (EduCom) was added, reflecting the intent of Motion 11.4.1 (March 2022).
- The “Fellow Search Committee” was added.
- The “DEI Committee” was renamed the “Broadening Participation Committee” in accordance with IEEE Policy 9.8, BL I-305.3, Section 1-305.
- The “Transnational Committee” was removed, having completed its mission.
- References to the IEEE Fellow Committee Operations Manual were added in Bylaws 8.11 and 8.12.
- Bylaws 14.1 and 14.2 were replaced with specific references to the TAB Operations Manual regarding procedures for removal from office.
- A reference to Bylaw 6 was added in Bylaw 6.2 for clarity.
- The word “Principal” was added in Bylaw 6.2 to clarify the allocation of elected members to standing technical committees.
- The description of Radiation Instrumentation’s interests in Bylaw 7.10.8 was updated as approved by RISC.
- Minor typographical and grammatical corrections were made throughout.

The final revision of the Constitution and Bylaws was approved by AdCom during the March 7, 2026 meeting in Santa Fe, NM, USA. The IEEE Technical Advisory Board granted approval on March 25, 2026 through a draft approval letter.
